PMv Evaluation Agreement

This Agreement serves as an electronic contract between SIMACRO Inc. and its affiliates (the "Provider") and the applicant (the "Evaluator") who wishes to access and use the PMv (ProcessMetaverse™) solution for evaluation purposes. By clicking the consent button, the Evaluator agrees to the following terms, which constitute a legally binding electronic signature.

1. Purpose

This Agreement allows the Evaluator to access and use the Provider’s PMv solution for a limited, non-commercial evaluation purpose only

2. Definitions

  1. "PMv" means the Provider's proprietary process digital twin solution made available for evaluation under this Agreement.
  2. "Evaluation Purpose" refers to internal testing and feasibility assessment of PMv's functionality and performance

3. License Grant

  1. The Provider grants the Evaluator a non-exclusive, non-transferable, limited license to use PMv solely for the Evaluation Purpose.
  2. The Evaluator shall not reverse engineer, replicate, distribute, modify, benchmark, or use PMv for any commercial or production purpose.
  3. This license automatically terminates at the end of the Evaluation Period unless otherwise extended in writing by the Provider.

4. Evaluation Period

  1. The standard evaluation period is one (1) month from the date of application approval.
  2. This period may be extended once for an additional month upon mutual agreement.

5. Confidentiality

  1. The Evaluator shall not disclose any information obtained through the use of PMv, including technical data, configurations, interface designs, functional manuals, algorithm structures, or deployment architecture, to any third party.
  2. This confidentiality obligation remains effective for two (2) years after the end of the Evaluation Period.
  3. Access must be limited to essential personnel within the Evaluator’s organization, and any third-party disclosure requires the Provider’s prior written consent.

6. Feedback and Intellectual Property

  1. All feedback, suggestions, or improvements provided by the Evaluator during the evaluation shall become the sole property of the Provider. The Provider is granted a worldwide, royalty-free, transferable, perpetual right to use such feedback.
  2. The Evaluator waives any claim for compensation or ownership regarding such feedback.

7. Warranty Disclaimer and Limitation of Liability

  1. PMv is provided "as is" without any warranty of fitness, performance, or error-free operation.
  2. The Provider shall not be liable for any direct, indirect, incidental, or consequential damages, including loss of business, data, or opportunity costs arising from the evaluation. Total liability shall not exceed zero (0) US Dollar.

8. Termination and Post-Termination Obligations

  1. Upon expiration or termination of the evaluation, or upon the Provider’s request, the Evaluator must immediately cease all access and permanently delete or return all related data, reports, and documents.
  2. The Provider reserves the right to suspend or revoke access at any time at its sole discretion without prior notice.

9. Consent to Collection and Use of Personal Data

  1. The Evaluator agrees to provide the following personal information for account setup and use:
    • Name, email address, affiliation, job title (optional), phone number (optional)
    • IP address, browser/device information (technical logs)
  2. This information will be used strictly for:
    • Account issuance and service provision
    • System security, user authentication, activity tracking, and technical support
  3. Personal data will be retained for six (6) months after the end of the Evaluation Period and then deleted. The Evaluator may request deletion at any time.
  4. The Provider will comply with applicable Personal Information Protection laws and will not share any personal data with third parties without consent.

10. Electronic Consent and Governing Law

  1. By clicking the "Accept and Continue" button, the Evaluator provides legally binding electronic consent to this Agreement.
  2. Any dispute arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the court located at the Provider’s head office.

If you do not agree to these terms, you will not be able to access PMv for evaluation. Please read and understand the contents before accepting.
